RevenueRescue - Terms of Service

1. Acceptance of Terms

By using RevenueRescue ("Service"), you agree to these Terms of Service ("Terms"). If you do not agree, do not use the Service.

2. Description of Service

RevenueRescue is a billing suggestion tool that analyzes calendar events from Clio and generates billing suggestions for attorney review.

REVENUERESCUE IS NOT:

Legal advice or a substitute for attorney judgment
Affiliated with, endorsed by, or approved by any bar association or court
A guarantee of billing accuracy or appropriateness
A substitute for attorney review and approval

REVENUERESCUE DOES NOT:

Provide legal advice
Make billing decisions on your behalf
Guarantee client acceptance of billing
Ensure compliance with ethics rules or client agreements

3. User Responsibilities

3.1 Attorney Review Required

YOU ARE SOLELY RESPONSIBLE FOR:

Reviewing all billing suggestions before posting
Determining billing accuracy and appropriateness
Obtaining client authorization when required
Ensuring compliance with fee agreements
Complying with all ethics rules and professional responsibilities

3.2 Data Accuracy

You are responsible for the accuracy of calendar events imported from Clio
RevenueRescue relies on source data from Clio
You must verify all time entries, rates, and narratives before posting

3.3 Professional Compliance

You agree to:

Use the Service only for authorized legal work
Comply with all attorney ethics rules
Maintain client confidentiality
Exercise independent professional judgment
Not rely solely on automated suggestions

4. Disclaimer of Warranties

4.1 "AS IS" Service

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, INCLUDING BUT NOT LIMITED TO:

Warranties of merchantability or fitness for purpose
Accuracy or completeness of billing suggestions
Uninterrupted or error-free operation
Security of data storage or transmission

4.2 No Guarantee

We make NO representation that:

Billing suggestions are accurate or appropriate
Clients will accept suggested billing
Use of the Service satisfies your professional duties
The Service complies with all ethics rules or billing requirements

5. Limitation of Liability

5.1 Maximum Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, REVENUERESCUE SHALL NOT BE LIABLE FOR:

Malpractice claims or professional liability
Ethics violations or disciplinary action
Client disputes or fee disputes
Lost revenue or business opportunities
Consequential, indirect, or punitive damages

5.2 Liability Cap

Our total liability shall not exceed the lesser of:

(a) Fees paid in the 12 months preceding the claim, or
(b) $500 USD

6. Account and Security

6.1 Account Responsibility

Provide accurate registration information
Maintain confidentiality of your credentials
Notify us immediately of unauthorized access
You are responsible for all account activity

6.2 Authorized Use

Service is for business use by licensed attorneys
Unauthorized sharing of account access is prohibited

7. Subscription Terms

7.1 Pricing

Annual subscription: $149.00 USD per year
Fees billed in advance annually
Non-refundable except as required by law

7.2 Free Trial

7-day free trial for new users
No charges during trial period
Subscription begins automatically after trial unless canceled

7.3 Automatic Renewal

Subscription renews annually unless canceled
Cancel anytime before renewal date
Cancellation takes effect at end of billing period

7.4 Price Changes

We may change prices with 30 days' notice
Changes apply to renewals, not current periods

8. Clio Integration

8.1 Authorization Required

You authorize RevenueRescue to access your Clio account via OAuth
We request read-only access to calendar events and matter data
You can revoke access at any time through Clio settings

8.2 Third-Party Terms

Your use of Clio is subject to Clio's terms and policies
We are not responsible for Clio service availability or changes

9. Data and Privacy

9.1 Data Ownership

You retain ownership of your data
You may export your data at any time

9.2 Data Retention

Data retained while account is active
90-day retention after account deletion (recovery period)
Data permanently deleted after retention period

10. Termination

10.1 Your Right to Cancel

Cancel subscription anytime through account settings
No refunds for partial periods
30 days to export data after cancellation

10.2 Our Right to Terminate

We may suspend or terminate your account if you:

Violate these Terms
Engage in fraudulent or illegal activity
Fail to pay fees
Use the Service in a harmful manner

11. Intellectual Property

RevenueRescue and its licensors own all rights to the Service
You may not copy, modify, distribute, or reverse engineer the Service
"RevenueRescue" is a trademark of Lexopoly LLC

12. Indemnification

You agree to indemnify RevenueRescue from claims arising from:

Your use of the Service
Your violation of these Terms
Malpractice or ethics violations
Client disputes related to billing

13. Dispute Resolution

13.1 Governing Law

These Terms are governed by the laws of Michigan.

13.2 Informal Resolution

13.3 Jurisdiction

Any legal action shall be brought in Michigan courts. Both parties consent to personal jurisdiction in Michigan.

14. Modifications to Terms

We may modify these Terms at any time. Material changes will be announced via email or Service notification. Continued use after changes constitutes acceptance.

15. General Provisions

15.1 Entire Agreement

These Terms and our Privacy Policy constitute the entire agreement.

15.2 Severability

If any provision is invalid, the remaining provisions remain in effect.

15.3 No Waiver

Failure to enforce a provision does not waive our right to enforce it later.

15.4 Assignment

You may not assign these Terms without our consent. We may assign without restriction.
